These Terms of Sale and Terms & Conditions apply to purchases, quotes, invoices, equipment orders, service requests, parts orders, financing discussions, delivery coordination, installation support, training, and related transactions with UmproTech INC. By requesting a quote, placing an order, submitting payment, accepting an invoice, or purchasing equipment or services from UmproTech, the buyer agrees to these terms unless a separate written agreement signed by UmproTech states otherwise.
1. Company Information
UmproTech INC supplies industrial equipment, metalworking machinery, CNC equipment, fabrication machines, laser systems, waterjets, CNC lathes, CNC milling machines, CNC routers, glass cutting machines, support equipment, replacement parts, accessories, and related services for U.S. buyers.

2. Quotes and Pricing
All quotes are subject to review and confirmation by UmproTech. Pricing may depend on machine configuration, options, support equipment, freight, duties, taxes, installation requirements, startup support, training, financing approval, and buyer-specific project requirements.
- Quotes are not binding until confirmed in writing by UmproTech.
- Prices may change due to manufacturer updates, freight changes, currency changes, tariff changes, supplier cost changes, or configuration changes.
- Verbal estimates are for planning only and do not replace a written quote or invoice.
- Errors, omissions, typographical mistakes, or incorrect pricing may be corrected by UmproTech before order acceptance.
3. Order Acceptance
An order is accepted only when UmproTech confirms the order in writing, issues an accepted invoice, or otherwise confirms that the order has entered processing. Submission of a purchase order, quote request, deposit, or payment does not automatically require UmproTech to accept an order.
UmproTech may decline, cancel, or request changes to an order if information is incomplete, pricing is incorrect, product availability changes, financing is not approved, payment is not received, compliance requirements are not satisfied, or the order cannot be fulfilled as requested.
4. Buyer Responsibilities
The buyer is responsible for confirming that the selected equipment, configuration, specifications, utilities, facility layout, delivery access, and production requirements are suitable for the buyer’s intended use.
- Buyer must provide accurate material, thickness, part size, power, air, gas, floor space, delivery, and installation information.
- Buyer must review and approve machine specifications before purchase.
- Buyer is responsible for local permits, safety compliance, operator training requirements, and facility readiness unless otherwise agreed in writing.
- Buyer is responsible for confirming that equipment is appropriate for its intended application.
5. Payment Terms
Payment terms are stated on the quote, invoice, or written order confirmation. Orders may require a deposit, progress payment, balance payment before shipment, or full payment before processing.
- Deposits may be required for machines, custom configurations, special orders, imported equipment, or production-reserved inventory.
- Orders are not released for shipment until required payments are received and cleared.
- Late payments may delay delivery, installation, training, warranty support, or parts fulfillment.
- Buyer is responsible for bank fees, wire fees, chargeback fees, returned payment fees, and collection costs where applicable.
6. Financing
Financing may be available for qualified buyers through third-party lenders or financing partners. Financing approval, payment amount, term length, documentation requirements, and final terms are determined by the lender, not UmproTech.
- Financing discussions do not guarantee approval.
- Estimated monthly payments are for planning only until confirmed by a lender.
- Buyer is responsible for reviewing and accepting lender terms before signing financing documents.
- Orders may not proceed until financing approval, required documents, and funding conditions are completed.
7. Taxes, Duties, Fees, and Compliance Costs
Unless specifically stated otherwise in writing, prices do not include sales tax, use tax, duties, tariffs, customs charges, brokerage fees, local fees, permit fees, rigging costs, electrical work, foundation work, utility upgrades, or compliance costs.
Buyer is responsible for all applicable taxes, duties, fees, permits, and regulatory compliance obligations related to purchase, delivery, installation, ownership, and use of the equipment.
8. Shipping, Freight, and Delivery
Delivery dates, freight estimates, transit times, and arrival windows are estimates only unless otherwise stated in a signed written agreement. Freight may be affected by carrier availability, customs clearance, weather, port delays, supplier schedules, parts availability, buyer readiness, or other factors outside UmproTech’s control.
- Buyer must provide accurate delivery address, ZIP code, dock access, forklift access, unloading plan, door clearance, and rigging information.
- Buyer is responsible for unloading, rigging, placement, machinery movers, and site access unless otherwise agreed in writing.
- Delivery delays do not automatically create a right to cancel, receive damages, or refuse payment.
- Buyer must inspect shipments promptly upon delivery and note visible damage with the carrier before accepting freight.
9. Risk of Loss and Title
Risk of loss may transfer to the buyer when equipment is shipped, delivered to the carrier, delivered to the buyer, or otherwise specified on the invoice, quote, or shipping documents. Title transfer terms may vary by order and must be confirmed in the written sales documents.
Buyer should maintain appropriate insurance for equipment in transit, in storage, during installation, and after delivery.
10. Installation, Startup, and Training
Installation, startup, and training services are included only when specifically listed in the quote, invoice, or written agreement. If included, the buyer must ensure that the facility is ready before service personnel arrive.
- Buyer must prepare power, air, gas, ventilation, foundation, floor space, tooling, consumables, safety equipment, and material for testing.
- Delays caused by incomplete site readiness may result in additional charges.
- Training is intended to support basic operation and startup; it does not replace buyer responsibility for workplace safety, supervision, and ongoing operator qualification.
- Additional training, return visits, or extended support may be quoted separately.
11. Product Specifications and Changes
Product specifications, images, features, options, dimensions, weights, capacities, and performance descriptions are provided for general reference and may vary by configuration, supplier revision, software version, or production update.
UmproTech may update, correct, substitute, or revise specifications where necessary, provided the delivered product is substantially consistent with the confirmed order or written agreement.
12. Custom Orders and Special Orders
Custom orders, configured machines, special orders, imported equipment, reserved inventory, made-to-order equipment, and non-stock parts may be non-cancellable and non-refundable once processing begins.
Buyer is responsible for reviewing drawings, specifications, voltage requirements, machine options, facility requirements, and production assumptions before approving a custom or special order.
13. Cancellations
Cancellation requests must be submitted in writing. UmproTech may approve or decline cancellation requests depending on order status, supplier commitments, production progress, shipping status, custom configuration, financing status, and incurred costs.
Approved cancellations may be subject to cancellation fees, restocking fees, non-refundable deposits, supplier charges, freight charges, financing costs, or other costs already incurred.
14. Returns
Returns require prior written authorization from UmproTech. Equipment, machinery, special orders, custom configurations, installed products, used products, electrical components, consumables, and opened parts may not be eligible for return.
- Unauthorized returns may be refused.
- Returned items must be in approved condition and packaging.
- Buyer is responsible for return freight unless otherwise agreed in writing.
- Approved returns may be subject to inspection, restocking fees, and deductions for missing or damaged items.
15. Warranty
Warranty terms vary by product, manufacturer, configuration, and written sales documents. Any warranty offered applies only as stated in the applicable quote, invoice, warranty document, or manufacturer documentation.
Warranty coverage may be void or limited by misuse, improper installation, unauthorized repair, lack of maintenance, incorrect utilities, unsuitable environment, operator error, accident, modification, abuse, consumable wear, or use outside stated specifications.
Unless otherwise stated in writing, consumables, wear parts, tooling, nozzles, lenses, filters, belts, seals, fluids, software misuse, and normal wear items may be excluded from warranty coverage.
16. Service and Support
UmproTech may provide technical support, service coordination, parts support, troubleshooting, training, or referral to service providers depending on the product and order scope. Service response times are not guaranteed unless specifically agreed in writing.
Buyer must provide safe access, accurate machine information, photos, videos, error codes, maintenance records, and facility details when requesting support.
17. Safety and Compliance
Buyer is responsible for safe installation, operation, guarding, ventilation, operator training, lockout/tagout procedures, PPE, workplace safety, local code compliance, and regulatory compliance related to equipment use.
Any references to OSHA-ready, UL/ETL components, CE, safety features, guarding, or compliance support do not transfer buyer responsibility for final workplace safety compliance, inspection, permitting, or local authority approval.
18. Software, Controls, and Digital Materials
Software, control systems, licenses, updates, documentation, and digital materials may be subject to separate license terms, supplier terms, or manufacturer restrictions. Buyer is responsible for maintaining backups, access credentials, compatible files, and proper software use.
19. Website Content and Product Information
Website content, product pages, images, videos, specifications, comparison guides, buyer guides, price guides, and catalog pages are provided for informational purposes. UmproTech makes reasonable efforts to provide accurate information but does not guarantee that all website content is complete, current, or error-free.
Buyers should confirm all final specifications, pricing, availability, warranty terms, delivery terms, and support scope before purchase.
20. Limitation of Liability
To the maximum extent permitted by law, UmproTech is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from equipment purchase, delivery, installation, delay, downtime, production loss, business interruption, operator error, or use of products or services.
UmproTech’s total liability for any claim related to a product or service shall not exceed the amount paid by the buyer for the specific product or service giving rise to the claim, unless a different limitation is required by applicable law.
21. Force Majeure
UmproTech is not responsible for delays or failure to perform caused by events outside its reasonable control, including supplier delays, carrier delays, customs delays, port congestion, weather, natural disasters, labor disruptions, power outages, cyber incidents, pandemics, government actions, tariffs, import restrictions, material shortages, or other force majeure events.
22. Indemnification
Buyer agrees to indemnify and hold UmproTech harmless from claims, losses, damages, liabilities, costs, and expenses arising from buyer’s misuse of equipment, unsafe operation, improper installation, unauthorized modification, failure to follow instructions, regulatory violations, or use of equipment outside stated specifications.
23. Governing Law and Dispute Resolution
These terms are governed by the laws of the state specified in the applicable written agreement, quote, invoice, or company policy. If no state is specified, governing law and venue should be confirmed in writing before final publication or purchase.
Buyers and UmproTech agree to attempt good-faith resolution of disputes before pursuing formal claims, unless immediate legal action is required to protect rights, property, or payment obligations.
24. Updates to These Terms
UmproTech may update these Terms of Sale and Terms & Conditions from time to time. The version posted on this website or included with the applicable quote, invoice, or written agreement will apply to the relevant transaction unless otherwise stated in writing.
