Terms of Sale / Terms & Conditions

These Terms of Sale apply to all purchases, quotes, invoices, equipment orders, service arrangements, and related transactions with UmproTech Inc. By placing an order, submitting payment, approving a quote, or accepting delivery, the buyer agrees to the terms below.

  1. Order Acceptance
    All orders, quotes, invoices, purchase orders, and payment submissions are subject to final acceptance by UmproTech Inc. Product availability, specifications, lead times, and pricing must be confirmed in writing before an order is considered final. UmproTech reserves the right to decline, cancel, or revise any order due to product availability, pricing errors, configuration changes, supplier updates, or other business reasons.
  2. Pricing & Included Items
    All prices are listed in U.S. dollars unless otherwise stated. Prices exclude taxes, shipping, freight, rigging, unloading, installation, training, electrical work, air supply, ventilation, accessories, consumables, customs fees, permits, and any other charges unless specifically included in the written quote or invoice. Final pricing is based only on the most recent written quote or invoice issued by UmproTech.
  3. Payment Terms
    Payment terms, deposits, balance due dates, and accepted payment methods will be stated on the applicable quote, invoice, or written agreement. Orders are not released for processing, production, shipment, or delivery until the required payment, deposit, or approved financing confirmation has been received. Buyer is responsible for bank fees, wire fees, returned payment fees, chargeback fees, and any related collection costs.
  4. Financing
    Financing may be available for qualified buyers through third-party financing partners. Approval, rates, terms, down payment requirements, monthly payments, and promotional programs are subject to lender review and approval. UmproTech does not guarantee financing approval, payment amounts, or specific financing terms.
  5. Custom Orders & Special Configurations
    Equipment that is custom-configured, special-ordered, modified, reserved, built to specification, imported, or prepared specifically for the buyer may be non-cancelable and non-returnable once the order is accepted, payment is received, production begins, or the equipment is allocated to the buyer.
  6. Shipping, Freight & Delivery
    Shipping and delivery timelines are estimates only and are not guaranteed unless expressly stated in writing. Freight costs may vary based on equipment size, weight, destination, fuel rates, carrier availability, access limitations, and delivery requirements. UmproTech is not responsible for delays caused by carriers, suppliers, customs, weather, labor disruptions, port congestion, force majeure events, or circumstances outside our reasonable control.
  7. Risk of Loss
    Unless otherwise stated in writing, risk of loss or damage passes to the buyer once the equipment is released to the carrier, freight provider, buyer-arranged transporter, or buyer-designated pickup location. Buyer is responsible for inspecting the shipment at delivery and documenting any damage or missing items with the carrier before signing delivery paperwork.
  8. Delivery Inspection
    Buyer must inspect all equipment, crates, packaging, and accessories immediately upon delivery. Visible damage, shortage, or delivery issues must be noted on the carrier’s delivery receipt and reported promptly. Failure to properly document shipping damage may limit or prevent freight claim recovery.
  9. Site Preparation, Installation & Training
    Buyer is responsible for preparing the installation site before delivery, including proper space, access, unloading equipment, rigging, electrical service, grounding, compressed air, ventilation, foundation, safety clearances, and compliance with local codes. Installation, startup, calibration, training, and technician travel are included only when specifically stated in the written quote or invoice.
  10. Returns, Cancellations & Refunds
    Returns require prior written approval from UmproTech and a valid Return Merchandise Authorization. Approved returns must be unused, undamaged, complete, and in original packaging unless otherwise agreed in writing. Custom-configured equipment, special-order equipment, used equipment, installed equipment, operated equipment, clearance units, and consumables may be non-returnable. Refunds, when approved, are issued after inspection and may be reduced by freight, handling, restocking, repair, inspection, transaction, or processing costs.
  11. Warranty
    Warranty coverage, when applicable, is defined by the product page, manufacturer warranty, written quote, invoice, or separate warranty document. Warranty coverage may vary by product, component, manufacturer, and configuration. Warranty does not cover misuse, improper installation, lack of maintenance, operator error, unauthorized repair, modification, accidents, consumable parts, wear items, improper electrical power, poor air supply, environmental conditions, or damage caused by site-related issues.
  12. Warranty Claims & Service
    Buyer must provide reasonable documentation for warranty or service claims, including photos, videos, serial numbers, error messages, maintenance history, and proof of purchase when requested. UmproTech may require remote troubleshooting before approving replacement parts, technician service, repair, or warranty action.
  13. Product Specifications
    Product photos, descriptions, technical specifications, videos, and marketing materials are provided for general reference only. Actual equipment may vary based on configuration, supplier updates, engineering improvements, accessories, voltage, software, options, and availability. Buyer is responsible for confirming final specifications in the written quote or invoice before payment.
  14. Buyer Responsibility
    Buyer is responsible for selecting equipment suitable for their intended use, materials, production requirements, facility conditions, operator skill level, and local regulatory requirements. UmproTech may provide general recommendations, but buyer remains responsible for final equipment selection and use.
  15. Limitation of Liability
    To the maximum extent permitted by law, UmproTech shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost production, downtime, business interruption, lost revenue, labor costs, substitute equipment costs, or delays. UmproTech’s total liability for any claim shall not exceed the amount paid by the buyer for the specific product or service giving rise to the claim.
  16. Force Majeure
    UmproTech shall not be liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, severe weather, transportation delays, supplier delays, labor disputes, government actions, customs delays, port delays, material shortages, power outages, cyber incidents, acts of war, public health emergencies, or other force majeure events.
  17. Governing Law
    These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any dispute arising from a transaction with UmproTech shall be handled in accordance with applicable Illinois law.

By placing an order, submitting payment, approving a quote, signing an invoice, accepting delivery, or using purchased equipment, buyer acknowledges that they have read, understood, and agreed to these Terms of Sale.
